Articles of Association

Author: Michael Novik
The Articles of Association are a necessary form that must be filed with the Companies House when you want to start a company formation UK. The articles of a company have the company name and the rules that can help preside over shareholders and directors of the company. There is also a requirement for the UK to establish a company to a legal entity. But this document alone can't get you the company you want. With the Articles of Associations, you will also need the Memorandum of Association to complete your application for a new company.

The Articles of Association will include the shares of a company or more commonly known as stocks. The Articles will include the various voting rights of the shareholders and the dividend rights as well. If there are any restrictions on any transfer on the shares then you will find them in the Articles. You will also list the rules and regulations of board meetings and shareholder meetings will be listed.

Most of the Articles of Association are known as Table A has been established since 1865. Companies in the United Kingdom are allowed to incorporate under a different table or make any amendments it needs to. The Companies Act of 2006 was approved with Royal Assent back in November but it will not be enforced until October 2009. This Act will see a new model of the Articles of Association for company formation UK. The Articles of Association will be a single document in the UK instead of being linked with the Memorandum of Association.

In the United Kingdom, it is important to file the Articles of Association as honest as possible. That means all of the shareholders and the directors must be at least 16 years of age and older. These documents may also include company polices such as payroll policies and even hiring policies may be put in place when you file these Articles of Association.

There may be accounting procedures policies may be included. All company formation UK are limited by shared. They are filed under Table A except when the articles are registered at the Companies House. These articles can be very long because companies want to make sure that they have their polices put into place. These articles and the Memorandum must be filed honestly and they must be filled out correctly, if they are not correct the Companies House may reject them until they are filled out properly.

Before starting a company formation UK, it is very important to know what paper work that you need and see if there are instructions on how to file them correctly. If you aren't sure there are companies out there that for a small fee will do the paperwork for you.
